ARBITRATION; JURISDICTION; JURY TRIAL & CLASS ACTION WAIVERS
Any dispute, controversy, or claim arising out of or related in any manner to these Terms of Use or use of the Swivel Transactions Website shall be solely and finally settled by arbitration administered by the American Arbitration Association in accordance with its commercial arbitration rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall take place before a panel of three (3) arbitrators sitting in Bexar County, Texas. The language of the arbitration shall be English. These Terms of Use are governed by the laws of the State of Texas (excluding its conflict of laws rules), provided that any dispute, controversy, or claim shall be solely and finally settled by arbitration in accordance with this section. The decision of the arbitrators shall be in writing with written findings of fact and shall be final and binding on the parties. The arbitrator shall be empowered to award damages, subject to the limitations set forth in the Liability Disclaimer section of these Terms of Use. Each party shall bear its own costs relating to the arbitration proceedings irrespective of its outcome. This section provides the sole recourse for the settlement of any disputes, controversies, and claims arising out of, in connection with, or related to these Terms of Use. Notwithstanding the foregoing in this paragraph, the seeking of injunctive relief may be submitted to a court of competent jurisdiction.
YOU KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATED IN ANY MANNER TO THESE TERMS OF USE OR USE OF THE SWIVEL TRANSACTIONS WEBSITE. ARBITRATION DOES NOT PROCEED BEFORE A JURY AND MAY INVOLVE MORE LIMITED DISCOVERY THAN A COURT PROCEEDING. ANY ARBITRATION UNDER THIS AGREEMENT WILL ONLY BE ON AN INDIVIDUAL BASIS. CLASS ARBITRATIONS, CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT PERMITTED. YOU ACKNOWLEDGE AND AGREE THAT ALL DISPUTES, CONTROVERSIES AND CLAIMS ARISING OUT OF OR RELATED IN ANY MANNER TO THESE TERMS OF USE OR USE OF THE SWIVEL TRANSACTIONS SHALL BE RESOLVED ON AN INDIVIDUAL BASIS WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND SHALL NOT BE CONSOLIDATED WITH THE CLAIMS OF ANY OTHER PARTIES. YOU MUST NOT USE THE SWIVEL TRANSACTIONS WEB SITE IN ANY JURISDICTION THAT DOES NOT GIVE EFFECT TO ALL PROVISIONS OF THESE TERMS AND CONDITIONS, INCLUDING WITHOUT LIMITATION THE PRECEDING PARAGRAPH.
If for any reason any dispute, controversy, or claim is not otherwise subject to arbitration (such as, by way of example only,
injunctive relief or claims to enforce an arbitration award), such dispute, controversy, or claim shall be brought in the state or federal courts located in Bexar County, Texas.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Swivel Transactions, its officers, directors, employees, agents, suppliers, licensors, and third-party partners from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms of Use.
GENERAL
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Swivel Transactions as a result of these Terms of Use or use of the Swivel Transactions Web Site. Swivel Transactions’s performance of these Terms of Use is subject to existing laws and legal process, and nothing contained in these Terms of Use is in derogation of Swivel Transactions’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Swivel Transactions Web Site or information provided to or gathered by Swivel Transactions with respect to such use.
